THE COST OF SERIOUS INTENT
I do not provide services.
I create an original intellectual work under a bespoke authorship commission and assign all exclusive intellectual property rights to the client.
PAYMENT
Work commences only upon receipt of 100% upfront payment.
Such payment constitutes the author’s fee for:
— creation of the work
— ongoing transfer of intellectual solutions and concepts during the course of work
— reservation of the author’s time and creative capacity
— subsequent IP assignment of all rights in the work
Payment also secures the author’s exclusive availability
and precludes acceptance of other engagements during the project term.
INTELLECTUAL TRANSFER
From the commencement of work, the client receives:
— conceptual frameworks
— narrative and artistic direction
— structural and symbolic systems
— proprietary methods and approaches
All such materials:
— possess independent commercial value
— are confidential and non-public
— may be used to develop competing or derivative works
The transfer of such intellectual material occurs progressively
and forms an integral part of the work.
TERMINATION BY CLIENT
The client may terminate the agreement at any time.
In such event, any refund shall be determined based on:
— the stage of completion
— the extent of intellectual material already disclosed
STAGE 1. PROJECT INITIATION
(initial consultations, analysis, conceptual direction)
Liquidated damages: 40% of the total fee
STAGE 2. CONCEPT DEVELOPMENT
(narrative architecture, key ideas, symbolic system)
Liquidated damages: 70% of the total fee
STAGE 3. FINALIZATION
(final development and delivery preparation)
Liquidated damages: 100% of the total fee
The parties agree that these amounts represent a genuine pre-estimate
of the losses incurred by the author in the event of termination,
including but not limited to time investment, allocation of creative resources,
and loss of opportunity.
USE OF MATERIALS
If, following termination, the client:
— uses any concepts, ideas, or materials provided
— discloses them to third parties
— engages other creators to implement them
the full fee shall be retained as liquidated damages,
without prejudice to any additional remedies available at law.
IP ASSIGNMENT
Full intellectual property rights (IP assignment) are transferred to the client only upon:
— completion of the work
— and full performance of payment obligations
Until such moment, all rights remain with the author.
EVIDENCE OF PERFORMANCE
The provision of work and transfer of materials shall be evidenced by:
— written correspondence
— presentations
— drafts and concept materials
— any other communication records
ACCEPTANCE OF TERMS
By making payment, the client acknowledges and agrees that:
— the work is unique and non-replicable
— intellectual value is transferred prior to final delivery
— the liquidated damages provisions are fair and reasonable
— they enter into the agreement voluntarily and in good faith
This is not a payment system.
This is a selection system.
Payment does not initiate a conversation.
It grants access to a process
in which the result is created once
and for one person only.
